Kosta Legal has successfully advised a Polish conglomerate wishing to sell its shares in three major Uzbek FMCG-trading companies to another European company. The total transaction value was about EUR 13 million.
Lawyers of Kosta Legal drafted and assisted in negotiating the relevant share purchase agreement. Considering that the target companies hold a significant market share in the relevant segment, it was necessary to receive merger clearance from the State Competition Committee, having proved to the Committee that the change in the shareholding would not distort competition within the market. Likewise, our lawyers had to conduct negotiations with Uzbek tax authorities over proper taxation of the transaction and its overall clearance.
Our client was a large agricultural holding company headquartered in Poland and involved in a variety of agricultural business activities in Eastern Europe and the post-Soviet region.
